Terms of Service

PLEASE READ CAREFULLY. These Terms contain an arbitration agreement and a class-action waiver (Section 16) that affect your legal rights. They also contain important disclaimers of warranties and limitations of liability (Sections 13–14).

These Terms of Service ("Terms") form a binding contract between you and Right Image Digital ("Gig," "we," "our," or "us") and govern your use of the Gig mobile application, website, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that all information you provide is accurate.

2. The Service — We Are a Marketplace Only

Gig is a neutral platform that connects users seeking services ("Customers") with independent third parties offering services ("Providers"). We do not provide the underlying services ourselves, do not employ Providers, and are not a party to any agreement formed between a Customer and a Provider.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent, unsafe, or harmful.

4. Trusted Membership & Refer-and-Earn Program

Gig offers an optional, one-time Trusted membership for a single payment of US $10. Becoming a Trusted member grants you (a) a "Trusted member" badge on your profile and (b) the ability to refer friends and earn a referral reward as described below. The membership is a one-time charge — it is not a subscription and does not recur.

4.1 How You Become a Trusted Member

There are two ways to join: (a) by invitation — an existing Trusted member refers you, and you pay the one-time US $10 membership fee; or (b) by application — if you were not referred, you submit a short application and pay a non-refundable US $10 application fee. Applications are reviewed by us and approval is not guaranteed; the application fee is not refunded if your application is declined. You may submit one application only.

4.2 Referral Reward

When a friend you personally referred becomes a Trusted member by paying the US $10 membership fee, you earn a flat US $5 referral reward. The reward is single-level: you earn only for people you personally refer, never for anyone they in turn refer. Only Trusted members can refer and earn. This is a referral-reward program — not an investment, security, or business opportunity. There are no recruitment quotas, no guaranteed returns, and no earnings for merely signing up. We make no representation that you will earn any particular amount, or anything at all.

4.3 Earnings & Payouts

Referral rewards accrue as a U.S.-dollar balance in your account. Payouts are made manually. To receive a payout you must provide a valid peer-to-peer payment handle (e.g., Venmo, PayPal, Cash App, or Zelle) in your profile; payouts are sent to that handle. We may set minimum payout thresholds, payout schedules, and reasonable verification requirements, and may withhold or delay payouts we believe to be associated with fraud, abuse, or a violation of these Terms.

4.4 Taxes & Reporting

You are solely responsible for any taxes owed on referral earnings. Depending on your jurisdiction and the amounts involved, we may be required to collect tax information from you (for U.S. persons, a Form W-9) before issuing payouts, and to report payouts to tax authorities (for example, issuing an IRS Form 1099 once applicable thresholds are met). We may withhold payouts until required tax information is provided.

4.5 Refunds, Chargebacks & Revocation

The US $10 membership fee and the US $10 application fee are non-refundable except where required by law; in particular, the application fee is non-refundable whether or not your application is approved. If a membership fee is refunded, charged back, or disputed, we will revoke the associated Trusted badge and reverse any referral reward generated by that payment (which may result in a negative balance that offsets future earnings). We may suspend or terminate participation in the program, and revoke the badge, for fraud, abuse, or violation of these Terms.

The Trusted badge reflects a paid membership only. It is not a verification of, or guarantee of, any user's identity, skills, character, background, or fitness for any task.

4.6 Fraud, Anti-Money-Laundering, Audit & Clawback

We may audit, investigate, and monitor referrals, memberships, applications, and payouts at any time. Where we reasonably suspect fraud, self-referral, fake or duplicate accounts, collusion, payment-method abuse, money laundering, or any other violation of these Terms or applicable law, we may withhold, reverse, or claw back any referral reward (which may create a negative balance that offsets future earnings), revoke the Trusted badge, and suspend or permanently ban the account. You agree not to use the Service, the membership, or the referral program to launder money or to facilitate any unlawful transaction, and you agree to provide information we reasonably request to verify your identity or the legitimacy of any referral activity.

You retain ownership of content you submit (profiles, listings, photos, messages, reviews — "User Content"). You grant Gig a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, translate, modify (e.g., for formatting), display, and distribute your User Content solely to operate, promote, and improve the Service. You represent that you have all rights necessary to grant this license and that your User Content does not infringe third-party rights or violate any law.

You consent to the automatic translation of your User Content into other users' languages using machine-translation providers.

7. Ratings, Reviews & Reports

You may submit ratings and reviews based on genuine first-hand experience. We may, at our sole discretion and without notice, remove or restrict any listing, review, rating, photo, message, profile, or other User Content that we believe violates these Terms, is unlawful, or is harmful to users or the Service (account-level suspension and termination are addressed in Sections 3 and 12). We are not obligated to monitor or moderate User Content and are not responsible for it. Reports about other users are reviewed at our discretion; we make no guarantee about investigation or outcome.

8. Fees & Payments

Gig currently offers one paid feature: the one-time Trusted membership described in Section 4 (joined either by invitation for a US $10 membership fee, or by a non-refundable US $10 application fee). Payments are processed by our third-party payment processor (Stripe) subject to its terms; we do not receive or store full payment-card numbers. You authorize us and our processor to charge your selected payment method for any fees you incur. These fees are final and non-refundable except as set out in Section 4.5 or where required by law.

Gig does not process payments for the underlying services arranged between Customers and Providers — those payments are made directly between the parties (for example, via the peer-to-peer payment handles shown on a profile), and Customers and Providers are solely responsible for their own taxes on those transactions.

9. Third-Party Services

The Service integrates third-party services (Firebase, Apple, Google, Anthropic, Voyage AI, Pinecone, Expo, Stripe, Railway, and others). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.

10. Intellectual Property

The Service, including all software, design, trademarks, and content we provide (excluding User Content), is owned by Gig or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms. All other rights are reserved.

11. DMCA & Copyright

If you believe content on the Service infringes your copyright, send a notice to isaac@rightimagedigital.com containing: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material claimed to be infringing and its location; (d) your contact information; (e) a good-faith statement that the use is not authorized; and (f) a statement under penalty of perjury that your notice is accurate and you are authorized to act.

Repeat infringers. In appropriate circumstances and at our discretion, we will disable or terminate the accounts of users who are repeat copyright infringers.

12. Termination

You may delete your account at any time in the app. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, create risk or legal exposure for Gig, or for any other reason. Sections that by their nature should survive termination (including Sections 6, 10, 13–25, and 27) will survive.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT, PROVIDER, OR CUSTOMER WILL MEET YOUR EXPECTATIONS. YOU USE THE SERVICE AT YOUR OWN RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GOODWILL, OR BUSINESS INTERRUPTION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT GIG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow these limitations, so they may not apply to you in full.

15. Indemnification

You agree to defend, indemnify, and hold harmless Gig and its affiliates from any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your interactions or transactions with other users; (d) your violation of these Terms or any law; or (e) your infringement of any third-party right.

16. Dispute Resolution, Arbitration & Class-Action Waiver

Please read this Section carefully. It affects your rights.

16.1 Informal Resolution

Before filing any claim, you agree to try in good faith to resolve it informally by emailing isaac@rightimagedigital.com with a description of the dispute. We will attempt to resolve it within 60 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in the county of your residence (or another mutually agreed location) and may be conducted by telephone or written submissions where permitted. Judgment on the award may be entered in any court of competent jurisdiction. This Section is governed by the Federal Arbitration Act.

16.3 Class-Action Waiver

YOU AND GIG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding.

16.4 Exceptions

Either party may (a) bring individual claims in small-claims court, and (b) seek injunctive or other equitable relief in court to protect intellectual-property rights.

16.5 Opt-Out

You may opt out of Section 16.2–16.3 by emailing isaac@rightimagedigital.com within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out" and your account email. Opting out will not affect any other part of these Terms.

17. Governing Law & Venue

These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. To the extent any claim is not subject to arbitration, it will be brought in the state or federal courts located in California, and you consent to personal jurisdiction there.

18. No Background Checks or Verification

Unless we expressly state otherwise in writing, Gig does not conduct criminal background checks, identity verification, immigration or right-to-work checks, reference checks, or any verification of the licenses, insurance, certifications, or qualifications of any user. Any "Trusted member" badge reflects a paid membership only and is not a background check or a verification of identity, skills, character, or fitness for any task. You are solely responsible for evaluating the identity, suitability, qualifications, and trustworthiness of any Customer or Provider before communicating, meeting, or transacting with them.

19. Safety, Assumption of Risk & Release of Claims

The Service lets independent users find and interact with one another, including in person and in private locations. Your interactions and transactions with other users are entirely at your own risk.

Stay safe. You are solely responsible for taking reasonable precautions when communicating or meeting with any user. We encourage you to meet in a public place where possible; tell someone where you are going; verify the other user's identity and credentials; avoid sharing sensitive personal or financial information; supervise minors and protect vulnerable persons; safeguard your property and valuables; and trust your instincts and disengage if you feel unsafe.

Not for emergencies. The Service is not designed or intended for emergencies. If you are in danger or require urgent assistance, contact your local emergency services (for example, 911 in the United States) immediately.

ASSUMPTION OF RISK. YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS ARISING FROM YOUR USE OF THE SERVICE AND YOUR INTERACTIONS OR TRANSACTIONS WITH OTHER USERS, INCLUDING RISKS OF PROPERTY DAMAGE, FINANCIAL LOSS, PERSONAL INJURY, OR DEATH.

RELEASE OF GIG FOR DISPUTES BETWEEN USERS. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE GIG AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, AND LIABILITIES OF EVERY KIND, KNOWN OR UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH A DISPUTE BETWEEN YOU AND ANY OTHER USER — including disputes about property damage, poor or incomplete workmanship, personal injury, theft, no-shows, cancellations, refunds, or payment. If you are a California resident, you expressly waive California Civil Code Section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

No insurance. Gig does not provide insurance coverage for any Customer, Provider, or user, and is not responsible for obtaining or maintaining insurance for any service.

20. Apple and Google App Store Terms

If you obtain the app from the Apple App Store or Google Play, you also agree to that store's applicable terms, and the following apply to the extent that store requires:

21. Service Availability and Modifications

We may add, change, suspend, limit, or discontinue any part of the Service — including any feature, content, or membership benefit — at any time, with or without notice, and without liability to you. (Service availability is not guaranteed; see the warranty disclaimer in Section 13.)

22. Electronic Communications and Consent

By using the Service, you consent to receive communications from us electronically — including notices, disclosures, agreements, and other information — by in-app message, push notification, email, or SMS text message (including one-time verification codes), at the contact details associated with your account. You agree that all electronic communications satisfy any legal requirement that such communications be in writing. Message and data rates may apply and are your responsibility. You may opt out of non-essential marketing messages using the unsubscribe or settings controls we provide; we may still send you transactional or service-related messages.

23. AI and Automated Features

The Service uses artificial-intelligence and machine-learning providers — for example, to translate user content and to power semantic search. AI-generated and automated output may be inaccurate, incomplete, or out of date, is provided for convenience and informational purposes only, and should not be relied upon as a substitute for your own judgment. You are responsible for verifying any information that matters to you, and we are not liable for decisions you make in reliance on automated output.

24. Export Controls and Sanctions

You may not use or access the Service where doing so is prohibited by U.S. or other applicable export-control or economic-sanctions laws. You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. or other applicable government list of restricted or prohibited parties.

25. Force Majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including natural disasters, fire, flood, earthquake, epidemic or pandemic, war, terrorism, civil unrest, labor disputes or strikes, government action, power or internet failures, or the failure or unavailability of third-party services, hosting, or telecommunications providers.

26. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced in the app or by updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance.
